Welcome to uplistd (the “Site”). This Terms of Service Agreement (the “Agreement”) is a legal agreement between you (“User,” “you,” or “your”) and uplistd (“we,” “us,” “our”). By visiting or using our site, any associated domains, mobile applications, or related services (collectively, the “Services”), you agree to be bound by the following terms and any other policies or guidelines referenced herein, including our Privacy Policy. If you do not agree with any of these terms, you must not use our Services.

1. Ownership of Materials

All content and materials made available through uplistd, including (but not limited to) software, design layouts, text, photographs, graphics, video, audio, logos, slogans, taglines, and any derivative works (collectively, the “Materials”), are owned or licensed by us and protected by copyright, trademark, trade secret, and other intellectual property laws. Any uplistd trademarks, service marks, or logos are the exclusive property of uplistd. Nothing in this Agreement grants you a license to use them without our express written permission. All rights not expressly granted are reserved.

2. License to Use Services

Subject to this Agreement, we grant you a limited, revocable, non-exclusive, and non-transferable license to access and use the Services solely for your internal business or personal purposes. However, you agree not to:

Copy, reproduce, modify, distribute, publish, or create derivative works of any Materials without our prior written consent.
Reverse engineer, disassemble, decipher, or otherwise attempt to derive the source code of any software used in the Services.
Sell, assign, sublicense, or exploit the Materials or Services for any commercial purposes other than what is expressly permitted in this Agreement.
Use automated scripts or scraping tools to access or gather information from the Services without our written approval.

3. Accounts & Security

When creating an account, you agree to provide true, accurate, and up-to-date information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must immediately notify uplistd if you suspect any unauthorized use or breach of security. We reserve the right to suspend or terminate your account if we suspect any violation of this Agreement.

4. User-Generated Content

You may upload, post, or otherwise transmit text, images, data, or other materials (“Content”) using our Services. You are solely responsible for the legality, reliability, and appropriateness of your Content. By submitting Content to uplistd, you grant us a non-exclusive, worldwide, royalty-free license to host, reproduce, distribute, and display such Content solely for the purpose of operating and improving the Services. We are not liable for the loss or corruption of your Content; you are advised to maintain backup copies.

5. Access to Third-Party Accounts

Certain features may require you to grant uplistd access to third-party accounts (e.g., social media, payment processors). By providing login credentials or other access information, you warrant that you have all necessary rights to grant us such access and that you have reviewed any third-party terms governing those accounts. We are not responsible for any third-party services or their actions.

6. Comments & Feedback

Any ideas, suggestions, or feedback you submit to uplistd(“Feedback”) are non-confidential. By sending Feedback, you agree we may use or incorporate it into the Services or Materials without compensation or acknowledgment. You grant us a perpetual, worldwide, irrevocable license to use, display, reproduce, or distribute your Feedback for any purpose.

7. Monitoring & Removal of Content

uplistd may, but is not obligated to, monitor user accounts and Content for compliance with this Agreement. We reserve the right to remove or disable access to any Content we believe violates these Terms or is otherwise objectionable. We also reserve the right to restrict or remove your account access if we determine your use of the Services is unlawful or violates these Terms.

8. Copyright Complaints

If you believe any Materials or Content on uplistd infringe your copyrighted work, please notify our designated agent with sufficient information to identify the copyrighted work and the alleged infringement. We will respond according to applicable intellectual property laws. Repeated copyright infringers may have their accounts terminated without notice.

9. Acceptable Use & Conduct

By using uplistd, you agree that you will not:

Upload Content that is unlawful, defamatory, obscene, or abusive.
Use the Services to engage in fraudulent, deceptive, or misleading activities.
Impersonate any person or entity or falsely state your affiliation with a person or entity.
Collect or store personal data about other users in violation of applicable laws.
Interfere with, disrupt, or create an undue burden on the Services or networks connected to the Services.
Violate any applicable local, state, national, or international law.

10. Selling Through uplistd

Certain features may enable you to sell products or services (“Commercial Products”) through uplistd. We are not liable for the quality, safety, or legality of Commercial Products. Payments may be processed via third-party providers, and you are subject to their terms. You agree to comply with all relevant laws and regulations when offering, selling, or purchasing Commercial Products using the Services.

11. Payment & Fees

Some Services require payment (the “Fees”). By selecting a paid plan, you authorize uplistd (or our third-party payment processor) to charge your provided payment method for all applicable Fees and taxes. Subscriptions renew automatically unless canceled. If you cancel before the current billing period ends, we typically do not issue refunds, unless otherwise required by law.

12. Domains

If we provide domain registration or renewal services, they may be subject to agreements with third-party registrars. Your registration or renewal of a domain name is also governed by the policies of the Internet Corporation for Assigned Names and Numbers (ICANN). You agree to review and comply with any applicable registrar or ICANN terms in connection with domain services.

13. Taxes

You are responsible for determining and paying any and all taxes (local, state, federal, or otherwise) associated with your use of the Services, including the sale or purchase of Commercial Products. We are not responsible for collecting, reporting, or remitting taxes arising from any transaction.

14. Termination

We may suspend or terminate your access to the Services at any time, for any reason (including non-payment of Fees or suspected illegal activity). You may cancel your subscription by following the instructions in your account settings. Upon termination, we may immediately deactivate or delete your account and remove all associated Content without liability to you.

15. Disclaimer of Warranties

THE SERVICES AND MATERIALS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, UPLISTD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DEFECTS WILL BE CORRECTED.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UPLISTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES (INCLUDING LOST PROFITS OR BUSINESS INTERRUPTION) ARISING FROM OR RELATING TO THIS AGREEMENT, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO UPLISTD IN THE SIX (6) MONTHS PRECEDING THE CLAIM.

17. Exclusive Remedy

Your sole and exclusive remedy in the event of any dispute with uplistd arising out of or related to this Agreement or the Services is to stop using the Services. Under no circumstances will uplistd be liable for any damages beyond what is expressly provided for herein.

18. Modifications & Updates

We reserve the right to modify or replace any part of this Agreement at any time. Changes become effective when posted on the Site or otherwise communicated to you. Your continued use of the Services indicates your acceptance of the updated Agreement. We also reserve the right to add or remove features from the Services at our discretion.

19. Indemnification

You agree to defend, indemnify, and hold harmless uplistd, its officers, directors, employees, agents, affiliates, and licensors from and against any claims, actions, damages, or liabilities arising out of or relating to your Content, your use of the Services, or your breach of this Agreement. You shall cooperate fully as required in the defense of any claim.

20. Privacy

We value your privacy. Please review our Privacy Policy for details on how we collect, use, and protect your personal data. By using our Services, you consent to our collection and use of personal information in accordance with our Privacy Policy.

21. Miscellaneous

Severability: If any provision of this Agreement is found unenforceable, the remaining provisions will remain in full force and effect.
No Waiver: Our failure to enforce any right under this Agreement does not constitute a waiver of that right.
Assignment: You may not assign or transfer this Agreement without our prior written consent. We may freely assign or transfer this Agreement.
Entire Agreement: This Agreement, including the Privacy Policy and any additional policies referenced, constitutes the entire agreement between you and uplistd regarding your use of the Services.
